Because these obligations are in association with the rights of third parties, the performance of obligation and liability of a committed person requires a detailed study. The main question of this paper asks who is responsible to carry out the abovementioned obligations. Results showed that the first ones (obligation before incorporation) cannot be analyzed based on the representation theory in the legal system of Iran because of the absence of the corporation at the time of signing contracts and other procedural and legal considerations. Hence, this is an independent obligation called "undertaking a third between founders and third parties" without imposing any obligation on the corporation unless the biding obligations for corporation formation. According to the current assumption, obligations are corporation commitments without any authorization when the corporation is formed. In the context of the second type of commitment (later to incorporation based on the assumption of commercial corporation annulment), such companies cannot be considered as partnership corporations and liabilities cannot be legally imposed on partners based on the commitment validity theory. Therefore, the liquidator is responsible to carry out obligations for third parties from incorporation to annulment. Hence, the effect of the inalienability of corporation annulment against third parties indicates that they can benefit from company assets and properties before distribution during the settlement process based on the contract procedure.  }, keywords = {: Prior Obligations,Incorporation,Third Parties,Undertaking the Third Party,Corporation Annulment}, title_fa = {تعهدات مقدم بر تشکیل شرکت‌های تجارتی}, abstract_fa = {تعهدات مقدم بر تشکیل شرکت‌های تجارتی در مفهوم فراگیر خود شامل تعهدات مقدم بر ثبت شرکت و همچنین تعهدات موخر بر ثبت شرکت (در فرض بطلان شرکت تجارتی) می‌شود. درست به لحاظ ارتباط این‌گونه تعهدات با حقوق اشخاص ثالث، اجرای تعهد متعهد و مسئولیت وی با ظرایفی همراه است که نیازمند مطالعة ویژه‌ای است. در این مقاله با این پرسش اصلی مواجه بودیم که مسئولیت اجرای تعهدات فوق بر چه اشخاصی تحمیل می‌شود و به این نتیجه رسیدیم که در نظام حقوقی ایران تعهدات نوع نخست(مقدم بر ثبت شرکت‌ها) به دلیل عدم وجود شرکت در زمان انعقاد قرارداد و برخی ملاحظات عملی و قانونی قابلیت تحلیل بر اساس نظریة نمایندگی را ندارد. از این رو تعهدی مستقل تحت عنوان «تعهد به فعل ثالث بین مؤسسان و اشخاص ثالث» است و هیچ‌گونه التزامی برای شرکت ایجاد نمی‌کند مگر آنکه تعهد مؤسسان جهت تشکیل شرکت ضروری باشد. در فرض اخیر تعهدات بدون نیاز به تنفیذ و به محض تشکیل شرکت، تعهد خود شرکت محسوب می‌شوند. در خصوص تعهدات نوع دوم (موخر بر ثبت شرکت در فرض بطلان شرکت تجارتی)، با پذیرش نظریة صحت تاهلی در خصوص این گونه شرکت‌ها به این نتیجه رسیدیم که تلقی چنین شرکت‌هایی به عنوان شرکت تضامنی و تحمیل مسئولیت بر شرکا فاقد پایگاه قانونی است. بنا بر این، مسئولیت اجرای تعهدات شرکت در مقابل اشخاص ثالث از زمان ثبت شرکت تا اعلام بطلان آن بر عهده خود شرکت از طریق مدیر تصفیه است. از این رو، اثر استناد ناپذیری بطلان شرکت در مقابل اشخاص ثالث در این نکته است که آن‌ها می‌توانند در فرایند تصفیه و در راستای اجرای قرارداد از اموال و دارایی شرکت قبل از تقسیم بین شرکا بهره‌مند شوند.}, keywords_fa = {تعهدات مقدم,تشکیل شرکت,اشخاص ثالث,تعهد به فعل ثالث,بطلان شرکت}, url = {https://jcl.illrc.ac.ir/article_239497.html}, eprint = {https://jcl.illrc.ac.ir/article_239497_8f91496d6250e4a253e4451d6dab6afb.pdf} }
